LIONS ORGAN AND EYE BANK OF DISTRICT 2-E2

CONSTITUTION


ARTICLE I

The name of the Corporation shall be the LIONS ORGAN AND EYE BANK OF
DISTRICT 2-E2, INCORPORATED.

ARTICLE II

The purpose of the Lions Organ and Eye Bank of District 2-E2, Inc. is to promote the
conservation, restoration, and transplantation of human organs and eyes, and the
prevention, treatment, and research of blindness and diabetes.

ARTICLE III

A. The Corporation shall operate principally within the boundary of the Lions District
2-E2, State of Texas and its benefits shall be made available, if possible and practical, to
all persons everywhere.

B. The principal office of the Corporation shall be in the City of Fort Worth, County of
Tarrant, State of Texas.

ARTICLE IV

The administration and financial activities of the Corporation shall be vested in a Board
of Directors to consist of eleven members. Eligibility for election as a Director shall be
limited to Lions in good standing in District 2-E2.

ARTICLE V

All activities of the Lions Organ and Eye Bank of District 2-E2, Inc., be in furtherance of
the support and operation of a human organ and eye bank, sight conservation and
restoration; and the prevention, treatment, and research of blindness and diabetes.

ARTICLE VI

Voting members of the Corporation shall be all members of District 2-E2 Lions Clubs in
good standing. Each member shall be entitled to one vote. No member shall be allowed to
vote by proxy.

ARTICLE VII

This Constitution may be amended at any regular or special meeting of the members of
this Corporation by a two-thirds vote of the members present provided the text of the
proposed amendment has been mailed to each Club in District 2-E2 ten (10) days prior to
the meeting at which a vote thereon is to be taken.
